1. Purpose and Background

This data processing agreement ("Agreement") is entered into as part of the collaboration between the parties and regulates the Data Processor’s processing of personal data on behalf of the Data Controller in connection with the use of the SOCii platform, created by #dominoevers.

The Data Processor acts only according to instructions from the Data Controller and processes personal data solely as necessary to provide the agreed services.

2. Processing of Personal Data

The Data Processor shall process personal data in accordance with applicable data protection legislation, including:

  • The General Data Protection Regulation (GDPR)
  • The Danish Data Protection Act

The types of personal data processed may include, but are not limited to:

  • Name and email address
  • Profile information and user content
  • Information related to user interactions on SOCii

3. Responsibilities of the Data Controller

The Data Controller is responsible for ensuring that there is a legal basis for processing personal data and that the registered individuals have received the necessary information about the processing.

The Data Controller has the right to audit the Data Processor’s processing of personal data to ensure compliance with this Agreement and applicable legislation.

4. Obligations of the Data Processor

The Data Processor commits to:

  • Processing personal data only according to documented instructions from the Data Controller.
  • Implementing appropriate technical and organizational measures to protect personal data against unauthorized access, loss, or destruction.
  • Ensuring that employees and subcontractors processing personal data are bound by confidentiality agreements.
  • Assisting the Data Controller in fulfilling obligations under GDPR, including handling requests from data subjects.

5. Subprocessors

The Data Processor may only use subprocessors with prior written approval from the Data Controller. The Data Processor must ensure that subprocessors are subject to the same data protection obligations as set forth in this Agreement.

6. Security Measures

The Data Processor must implement appropriate security measures in accordance with GDPR Article 32, including, but not limited to:

  • Encryption of sensitive data.
  • Access restrictions to personal data.
  • Ongoing security assessments and penetration tests.

7. Data Transfers to Third Countries

The Data Processor may not transfer personal data to third countries outside the EU/EEA without prior written approval from the Data Controller and only under the condition that the necessary security measures are in place.

8. Handling of Data Breaches

In the event of a security breach that may pose a risk to the rights of data subjects, the Data Processor commits to immediately and without undue delay informing the Data Controller and assisting in handling the incident.

9. Duration and Termination

The Agreement remains valid as long as the Data Processor processes personal data on behalf of the Data Controller. Upon termination of the Agreement, the Data Processor must either delete or return all personal data as instructed by the Data Controller.

10. Governing Law and Jurisdiction

This Agreement is governed by Danish law, and any disputes shall be settled by the Danish courts.
